Bidding Terms & Conditions

1. Eligibility to Bid

To participate in the ECO-ONEBRANDHOMES bidding platform, you must meet all of the following requirements:

• Be at least 18 years of age
• Be a natural person, corporation, limited liability company, or other legal entity with capacity to enter into binding contracts under applicable law
• Have completed the full registration and identity verification process on our platform
• Not be an employee, officer, director, or immediate family member of ECO-ONEBRANDHOMES or Ecoways Realty LLC
• Not be a party to any active legal dispute with ECO-ONEBRANDHOMES
• Have a valid United States residential or mailing address

ECO-ONEBRANDHOMES reserves the right to refuse bidder registration or revoke bidder status at its sole discretion, including where required to comply with applicable laws or to protect the integrity of the bidding process.

2. Bidder Registration

Prior to placing any bid, you must complete the bidder registration process, which includes:

• Creating an account with accurate personal information, including full legal name, email address, phone number, and mailing address
• Completing identity verification as required by our platform and applicable Florida real estate regulations
• Agreeing to these Bidding Terms, the general Terms of Service, and Privacy Policy
• Providing any additional documentation requested by Ecoways Realty LLC to verify your eligibility or financing capability

If you are a licensed real estate professional bidding on behalf of a client, your client must separately register as a bidder and your brokerage must complete our Realtor Registration Form before a bid can be accepted.

3. How the Bidding Process Works

The ECO-ONEBRANDHOMES online bidding platform operates as follows:

Each property auction has a clearly stated closing date and time. The bidder with the highest confirmed bid at the exact time of auction close is designated as the winning bidder, subject to seller confirmation where a reserve price applies.

4. Bid Submission Rules

Minimum Bid Increments

Each bid must exceed the current highest bid by at least the minimum increment specified on each property listing. Bids that do not meet the minimum increment will not be accepted by the platform.

Binding Nature of Bids

All bids submitted through the platform are binding offers. By clicking "Confirm Bid," you are making a legally binding offer to purchase the property at the stated price, subject to these Bidding Terms. Bids cannot be retracted once submitted except in the limited circumstances described below.

Bid Retraction

Bid retractions are not generally permitted. ECO-ONEBRANDHOMES may, at its sole discretion, allow a bid retraction only in the event of a documented typographical error resulting in a materially incorrect bid amount. All retraction requests must be submitted in writing to our team within 30 minutes of the erroneous bid and are subject to approval. Approved retractions do not relieve the bidder from the obligation of the previous valid bid amount.

Multiple Bids

You may submit multiple bids on the same property. Each new bid must meet the minimum increment requirement above the current highest bid at the time of submission. Your most recent confirmed bid represents your current offer on the property.

5. Reserve Price and Opening Bid

The opening bid amount displayed on each listing represents the minimum starting price for that property. Some properties may carry a reserve price, which is the minimum amount the seller is willing to accept. Where a reserve price applies, this will be disclosed in the property listing.

• If the highest bid at close meets or exceeds the reserve price, the property is sold to the winning bidder
• If the highest bid at close does not meet the reserve price, ECO-ONEBRANDHOMES reserves the right to decline the sale, extend the auction, or negotiate directly with the highest bidder
• Opening bid prices are set to reflect current market conditions and do not represent the appraised or assessed value of the property

6. Outbid Notifications

If your bid is exceeded by another bidder, you will receive an automatic outbid notification by email and, where applicable, by SMS to the contact information associated with your account. It is your sole responsibility to ensure your contact information is current and accurate.

ECO-ONEBRANDHOMES is not responsible for missed notifications resulting from incorrect contact information, spam filters, technical failures outside our control, or your failure to monitor the platform. We strongly recommend actively monitoring active listings rather than relying solely on notifications.

7. Winning Bids and Purchase Agreement

Upon auction close, the highest confirmed bidder is notified of their winning status by email within one business day. The winning bidder must then:

• Respond to the Ecoways Realty LLC team within 48 hours of receiving the winning bid notification
• Execute a formal Purchase and Sale Agreement within 5 business days of the winning bid notification
• Pay the required Earnest Money Deposit as described in Section 8 within the timeframe specified in the Purchase and Sale Agreement

The winning bid amount constitutes the agreed purchase price. The Purchase and Sale Agreement will include all additional terms, conditions, contingencies, and closing requirements in accordance with Florida real estate law. All transactions are conducted through Ecoways Realty LLC.

8. Earnest Money Deposit

Upon execution of the Purchase and Sale Agreement, the winning bidder is required to submit an Earnest Money Deposit (EMD) as specified in each property listing. The EMD is held in escrow by Ecoways Realty LLC or a designated title company in accordance with Florida real estate regulations.

• The EMD amount is specified in each property listing and is typically a percentage of the winning bid price
• The EMD will be applied toward the purchase price at closing
• In the event the sale does not close due to the buyer's default, the EMD may be forfeited as outlined in Section 10
• In the event the sale does not close due to circumstances outside the buyer's control that are covered by an applicable contingency in the Purchase and Sale Agreement, the EMD will be returned to the buyer

9. Buyer Responsibilities and Due Diligence

All properties are sold subject to the disclosures provided in each listing. It is the sole responsibility of the buyer to conduct all necessary due diligence prior to bidding, including but not limited to:

• Reviewing all property disclosures, specifications, floor plans, and listing documents provided by ECO-ONEBRANDHOMES
• Scheduling and attending a property tour or inspection prior to bidding where possible
• Independently verifying the property's location, lot size, zoning, and permitted uses
• Securing financing pre-approval or proof of funds prior to bidding
• Consulting with independent legal, financial, or real estate counsel as appropriate
• Reviewing any applicable Homeowners Association (HOA) documents, fees, or restrictions

By submitting a bid, you represent that you have conducted or have had adequate opportunity to conduct all due diligence you deem necessary and are bidding with full knowledge of the property's condition and characteristics.

10. Default by Winning Bidder

A winning bidder is considered in default if they:

• Fail to respond to winning bid notification within 48 hours
• Fail to execute the Purchase and Sale Agreement within 5 business days
• Fail to submit the required Earnest Money Deposit within the specified timeframe
• Fail to close the transaction in accordance with the executed Purchase and Sale Agreement without a valid contingency basis
• Provide false information during registration or the purchase process

In the event of default, ECO-ONEBRANDHOMES and Ecoways Realty LLC reserve the right to:

• Retain the Earnest Money Deposit as liquidated damages
• Permanently revoke the defaulting bidder's account and bidding privileges
• Offer the property to the next highest bidder or re-list the property for auction
• Pursue any additional legal remedies available under Florida law

11. Property Condition

All ECO-ONEBRANDHOMES properties are newly constructed using FrameCAD cold-formed steel-frame technology and are built in compliance with the Florida Building Code. Each property is permitted and inspected by the relevant county building authority prior to sale.

Unless otherwise stated in a specific property listing, properties are sold in "new construction" condition. ECO-ONEBRANDHOMES provides a limited structural warranty through its Eco Protection Program for eligible properties. Details of the Eco Protection coverage are available upon request and will be disclosed in the Purchase and Sale Agreement.

12. Auction Cancellation, Extension, or Amendment

ECO-ONEBRANDHOMES reserves the right, at its sole discretion and at any time prior to the official close of an auction, to:

• Cancel or withdraw a property listing from auction, with or without cause
• Extend the auction close date and time
• Modify minimum bid increments or reserve prices with notice to registered bidders
• Reject any bid for cause, including suspected fraud or Terms violations

If an auction is cancelled after bids have been received, all bidders will be notified by email and no bids will be binding. ECO-ONEBRANDHOMES shall have no liability to any bidder for losses arising from auction cancellation or modification, except for the return of any Earnest Money Deposits already submitted.

13. Equal Housing Opportunity

ECO-ONEBRANDHOMES and Ecoways Realty LLC are committed to Equal Housing Opportunity. We fully comply with the federal Fair Housing Act, the Florida Fair Housing Act, and all applicable local ordinances. We do not discriminate against any person in the availability, terms, or conditions of the sale of housing on the basis of race, color, religion, sex, national origin, disability, familial status, or any other class protected by applicable law.

All eligible registered bidders have equal opportunity to participate in our bidding process. If you believe you have been subjected to discriminatory practices, please contact us immediately or file a complaint with the Florida Commission on Human Relations or the U.S. Department of Housing and Urban Development (HUD).

14. Dispute Resolution

Any dispute arising from or relating to these Bidding Terms, the bidding process, or any property transaction shall first be submitted to ECO-ONEBRANDHOMES in writing for informal resolution. We will make good-faith efforts to resolve the dispute within 30 days.

If informal resolution is unsuccessful, the parties agree that disputes shall be resolved through binding arbitration in Broward County, Florida, in accordance with the rules of the American Arbitration Association, unless both parties mutually agree to an alternative resolution process. The laws of the State of Florida shall govern all disputes.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
